- Interest free refundable deposit.
- Commence business from centre within two months of date of signing of the Letter of Intent.
- Non-refundable startup kit fee against which the kit will be provided by the parent company.
- Annual Partnership fee.
- Full payment should be made by the partner before launch of the Centre.
- In the event of default of the above clause the Letter of Intent / Agreement would stand cancelled and annual partnership fees will be forfeited.

| OTHER TERMS |
- All operational expenses of running the centre would be borne by Partner
- Marketing and promotional expenses would be on a cost sharing basis as per the agreement
- Revenue sharing would be as per the agreement
- All creative for local advertising / promotions would be provided / approved by IMS
- Prior written approval would be mandatory for all local level advertising and promotion
